Gaborone is the principal place of business and on-site management hub for the Caspian Africa / Copilot Mining Joint Venture. The Lead Managing Director represents day-to-day operational interests of the JV and reports to the Board of Directors. Caspian Africa, as controlling shareholder, appoints the Chairperson and a majority of directors.

Build-out of beneficiation and logistics capacity follows the development of each underlying concession and is sequenced under the JV's annual business plan and budget.

Botswana compliance

Mines & Minerals Amendment Act No. 14 of 2024

The 2024 Amendment requires mining companies in Botswana to offer a prescribed stake in new concessions to local investors if the Government does not purchase the stake itself. The joint venture's shareholding has been structured to satisfy this requirement, and the parties commit to the steps necessary for ongoing compliance.

Governing law & dispute resolution

Governed by the laws of the Republic of Botswana. Disputes are first referred to senior representatives for 30 days of good-faith negotiation; thereafter, binding arbitration in Gaborone before a 3-arbitrator panel under the rules of the Botswana Institute of Arbitrators. Language: English.
